Our client, a community development organization, is seeking an attorney to join its in-house legal department. The department handles a diverse, challenging, and mission-driven workload related to core lending activities, government contracting, capital raising, programmatic legal support, corporate governance, and broader organizational priorities.

• $100-150/hour depending on experience

Responsibilities:

• Structure, draft, and negotiate loan documents and other credit facility documentation as lender, participant, or originating lender, including loans, lines of credit, guarantees, and other credit facilities that support affordable housing, small businesses, and other community development projects in under-resourced communities or that support low-wealth individuals and families.
• Advise on loan amendments, modifications, workouts, and related portfolio and credit risk matters, coordinating with Lending, Asset Management, and other internal stakeholders.
• Provide strategic legal guidance on lending and credit activity, including loan structuring, transaction strategy, portfolio management considerations, risk mitigation, and support for the company's Credit Committee process.
• Oversee and coordinate outside counsel on lending, financing, workout, and related legal matters, as appropriate.
• Handle general corporate matters and perform legal research

Required Qualifications:

• Bachelor’s degree from an accredited college or university required; law degree from an accredited law school required.
• Minimum seven (7) years’ experience in finance, lending, project finance, public financing, or general commercial transactions.
• Experience representing lenders in secured and unsecured loans required, including familiarity with perfecting interests in all types of collateral, including real estate collateral.
• Experience with loan participations, intercreditor arrangements, syndicated or co-lending structures, and other multi-lender financing arrangements preferred.
• Understanding of workouts, foreclosures of real property, bankruptcy, and related litigation a plus.
• Experience with complex project finance structures, public financing, tax credit transactions, and other community development financing sources, including Low-Income Housing Tax Credits, New Markets Tax Credits, Historic Tax Credits, renewable energy, and other federal, state, or local tax credits and programs (e.g., Opportunity Zones) that support community development activities, preferred.
• Strong interest in community development, impact investing, and the role of CDFIs in non-profit and community development financing, with a learning orientation and curiosity about the field.
• Fluency with collaboration tools and business systems, including Microsoft Office, Teams, Adobe Acrobat, and document management systems such as Box; experience with Salesforce a plus.
• Licensed to practice law in a jurisdiction located in the United States.
