Our client seeks a corporate attorney with at least 4–5 years of experience and substantial M&A experience. The firm advises businesses, including private equity-backed portfolio companies, on transactions and ongoing outside general counsel matters.

• Salary: $140k

Responsibilities:

• Draft and negotiate acquisition agreements, disclosure schedules, and related documents.

• Manage buy-side and sell-side due diligence, closings, and post-closing deliverables.

• Advise on entity formation, equity issuances, capitalization, equity compensation, and corporate governance.

• Draft and negotiate commercial contracts, including NDAs, MSAs, and vendor agreements.

• Provide practical, responsive advice to outside general counsel clients and collaborate across practice groups.

Required Qualifications:

• JD and active Virginia and/or California bar membership in good standing.

• At least 4–5 years of corporate and transactional experience, including substantial M&A work.

• Ability to draft and negotiate acquisition agreements with limited supervision.

• Strong writing, attention to detail, and ability to manage multiple clients and deadlines.

• Private equity, technology, software, healthcare, or growth-stage company experience preferred.
